1. Acceptance of Terms

Welcome to ClawPOS (hereinafter "the Service"). These Terms of Service (hereinafter "the Terms") constitute a legal agreement between you and ClawPOS regarding your use of the Service. Please read the entire Terms carefully before using the Service.

Once you register an account, access, or use the Service, you are deemed to have read, understood, and agreed to the entire Terms. If you do not agree with any part of the Terms, please do not use the Service.

2. Service Description

ClawPOS is an AI-native POS system for restaurant and retail stores, providing including but not limited to the following services:

POS cashier terminal application
Store management dashboard
Inventory and supply chain management
Member marketing system
Data analysis and business reports
Multi-store chain management
Third-party platform integration (delivery, payment, accounting, etc.)

We may update, add, or remove service content from time to time. For material changes, we will notify you in advance.

3. Account Registration & Security

3.1 Registration Requirements

You need to register an account to use most features of the Service. Upon registration, you agree to:

Provide true, accurate, and complete registration information
Update registration information promptly to maintain accuracy
You have full civil capacity, or use under the consent of a legal guardian
Your registration and use of the Service does not violate any applicable laws or regulations

3.2 Account Security

You are responsible for safeguarding your account password and access credentials, and for all activities under your account. You agree to:

Not disclose account password to third parties
Notify us immediately upon discovering account compromise or security vulnerabilities
Use secure passwords and change them regularly

We are not liable for losses resulting from your failure to safeguard account information.

4. Payment & Refunds

4.1 Subscription Fees

The Service offers a free trial period and paid subscription plans. The prices, features, and terms of paid plans are as published on our official pricing page. You agree to pay the corresponding fees according to your selected subscription plan.

4.2 Auto-Renewal

Unless you cancel auto-renewal before the subscription period ends, the subscription will auto-renew. You authorize us to charge renewal fees to your payment method. You can cancel auto-renewal anytime in account settings.

4.3 Refund Policy

Canceling during the free trial incurs no charges. After paid subscription takes effect, except as otherwise required by law or promised by us, paid fees are non-refundable. If you are dissatisfied with the service, please consult via customer service before payment.

4.4 Price Changes

We may adjust subscription prices from time to time. Price changes will be notified 30 days in advance. The changed price applies to the next subscription period.

5. User Conduct

When using the Service, you agree to abide by the following conduct rules:

Not use the Service for any illegal activities
Not infringe on others' intellectual property, trade secrets, or other legitimate rights
Not upload or distribute any illegal, harmful, harassing, defamatory, or obscene content
Not attempt to crack, reverse engineer, or attack the Service's systems or networks
Not interfere with or disrupt the normal operation of the Service
Not use automated tools to bulk access or scrape Service data
Not resell, rent, or provide the Service to unauthorized third parties

If you violate the above rules, we reserve the right to suspend or terminate your account and pursue corresponding liability.

6. Intellectual Property

6.1 Our Intellectual Property

All content included in the Service, including but not limited to software, code, interface design, trademarks, logos, documentation, data structures, etc., is owned by ClawPOS or its rights holders and is protected by copyright, trademark, patent and other laws. Without our written permission, you may not copy, modify, distribute, display, or use for commercial purposes.

6.2 Your Content

Business data such as product information, order data, and member information that you upload or enter while using the Service belongs to you. You grant us a non-exclusive, revocable license necessary to provide the Service to store, process, and transmit your data.

We will not use your business data for purposes unrelated to providing the service, nor sell your data to third parties.

7. Service Availability and Maintenance

We will make reasonable efforts to maintain stable operation of the Service, but do not guarantee uninterrupted or error-free service. The following circumstances may cause service interruption:

Regular system maintenance and upgrades
Technical issues such as network failures, server failures
Force majeure events (natural disasters, war, government actions, etc.)
Third-party service interruptions (payment gateways, delivery platforms, etc.)

For scheduled maintenance, we will notify in advance. For losses caused by service interruption, we are not liable within the scope permitted by law.

8. Disclaimer

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. We make no express or implied warranties, including but not limited to:

Merchantability, fitness for a particular purpose, or suitability of the Service
Service will be uninterrupted or error-free
Accuracy and reliability of service results
Absolute security of data

We are not liable for any direct or indirect losses arising from your use of the Service, within the scope permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any losses you suffer from using the Service shall not exceed the total service fees you paid to us in the 12 months preceding the claim event.

We are not liable for the following losses: loss of profit, business interruption, loss of goodwill, data loss, indirect losses, incidental losses, punitive losses, etc.

10. Termination

10.1 Your Voluntary Termination

You may terminate your use of the Service at any time through account settings or by contacting customer service. After termination, your account will be deactivated, and paid fees are non-refundable (unless otherwise required by law).

10.2 Our Termination

If you violate these Terms or engage in other violations, we reserve the right to suspend or terminate your account and refuse your continued use of the Service.

10.3 After Termination

After account termination, we will process your data according to our data retention policy. You may request to export your data within 30 days after termination. Beyond that period, we may delete or anonymize your data.

11. Changes to Terms

We may update these Terms from time to time. The updated Terms will be published on this page with the last updated date noted. For material changes, we will notify you through prominent means. Continued use of the Service constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

The formation, execution, and interpretation of these Terms are governed by the laws of the People's Republic of China. Any dispute arising from these Terms shall first be resolved through friendly negotiation; if negotiation fails, either party may file a lawsuit with the competent people's court at ClawPOS's location.
